By accessing or using the Scheduley platform, Ding widget, or any related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.
These Terms constitute a legally binding agreement between you and Scheduley Inc. (“Scheduley,” “we,” “us,” or “our”).
You must be at least 18 years old and capable of entering into a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use.
You must provide accurate and complete information when creating an account and keep it up to date.
The Service is provided for lawful business scheduling, communication, and related purposes. You agree not to:
All content, design, code, trademarks, logos, and materials comprising the Service are the exclusive property of Scheduley Inc. and are protected by United States and international copyright, trademark, trade dress, and intellectual property laws.
The Scheduley name, Scheduley logo, Ding name, Ding logo, and all related product names, designs, and trade dress are trademarks of Scheduley Inc. Registration pending with the United States Patent and Trademark Office. Unauthorized use of any Scheduley trademarks is strictly prohibited.
You may not copy, imitate, or use our trademarks, trade dress, visual design, page layouts, UI patterns, or brand identity without prior written consent from Scheduley Inc. This includes, without limitation, reproducing the look and feel of our website, dashboard, marketing pages, or widget designs.
Any unauthorized reproduction or redistribution of the Service or its components may result in civil and criminal penalties, and will be prosecuted to the maximum extent permitted by law.
Certain features of the Service require a paid subscription. By subscribing, you authorize us to charge your payment method on a recurring basis. All fees are non-refundable except as described in our refund policy or as required by law.
We reserve the right to change pricing at any time with 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.
Some features, including AI usage, voice minutes, and SMS, are billed on a usage basis. You are responsible for monitoring your usage and any charges incurred. We provide usage dashboards but are not liable for overages.
Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your information.
You retain ownership of the data you submit to the Service. You grant Scheduley a limited license to use that data solely to provide and improve the Service.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCHEDULEY INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY.
Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately.
You may cancel your account at any time. Cancellation does not entitle you to a refund of any prepaid fees unless required by law.
You agree to indemnify and hold harmless Scheduley Inc., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from your use of the Service or violation of these Terms.
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in California.
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a new effective date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
